AFFILIATE PROGRAM

Program Owner: Biz Pro HQ  (“Company,” “We,” “Us”)

By applying to or participating in the Company’s Affiliate Program (“Program”), you (“Affiliate,” “You”) agree to the following Terms & Conditions.

The Affiliate Program allows approved affiliates to refer prospective clients to Company services in exchange for a commission, subject to the terms outlined herein.

Participation in the Program does not create an employment relationship, partnership, joint venture, or agency relationship between Affiliate and Company.

2.1 Application Required
All affiliates must complete and submit the Affiliate Program Intake Questionnaire. Acceptance is at the sole discretion of the Company.

2.2 Approval Rights
Company reserves the right to approve, deny, suspend, or terminate any affiliate application or participation at any time, with or without cause.

2.3 Age & Capacity
Affiliates must be at least 18 years of age and legally able to enter into binding agreements.

3.1 Independent Contractor
Affiliates are independent contractors and are not employees, agents, or representatives of the Company.

3.2 No Authority
Affiliates may not:

• Bind the Company to any agreement
   
• Make representations on behalf of the Company
   
• Negotiate pricing or service terms
   
• Collect payments from clients

4.1 Commission Structure
Commission rates, eligibility, and payment schedules are defined separately in the Affiliate Agreement or Program Guide and may vary by service or tier.

4.2 Qualified Referral
A referral is considered “Qualified” only when:

• The referral is submitted through approved tracking methods
   
• The client completes services and payment is received
   
• No prior relationship exists between the Company and the client
   

4.3 Non-Qualified Referrals
No commission is paid for:

• Self-referrals
   
• Existing clients
   
• Referrals obtained through misleading or prohibited methods
   
• Chargebacks, refunds, or canceled services
   

4.4 Payment Timing
Commissions are paid after services are rendered and payments clear, typically within [30–45] days, subject to Company policy.

4.5 Taxes
Affiliates are responsible for all federal, state, and local taxes related to commissions earned. A W-9 is required before payment.

5.1 Permitted Promotion
Affiliates may promote services through:

• Personal referrals
   
• Educational content
   
• Social media
   
• Email marketing (CAN-SPAM compliant)
   
• Events or workshops
   

5.2 Prohibited Conduct
Affiliates may NOT:

• Make income guarantees or false claims
   
• Misrepresent services, pricing, or results
   
• Use Company branding without written approval
   
• Impersonate the Company or its staff
   
• Run paid ads using Company trademarks without permission
   

5.3 Compliance with Laws
Affiliates must comply with all applicable laws, including:

• FTC endorsement and disclosure rules
   
• IRS regulations
   
• Data privacy and consumer protection laws
   

6.1 Confidential Information
Affiliates may receive non-public information and agree to keep all such information confidential.

6.2 Client Data
Affiliates must not collect, store, or transmit sensitive client information unless explicitly authorized.

6.3 Data Security
Any misuse or breach of confidential or client information is grounds for immediate termination.

Affiliates agree not to:

• Solicit Company clients outside the Program
   
• Divert or redirect clients
   
• Recruit Company staff or contractors
   
• Offer competing services to referred clients during the engagement period
   

8.1 Term
These Terms remain in effect as long as Affiliate participates in the Program.

8.2 Termination by Company
Company may terminate participation at any time, with or without cause.

8.3 Termination by Affiliate
Affiliate may terminate participation by written notice.

8.4 Effect of Termination
Upon termination:

• All promotional activity must cease
   
• Unpaid commissions may be forfeited if violations occurred
   
• Confidentiality obligations survive termination
   

All Company trademarks, logos, content, and materials remain the exclusive property of the Company. Limited, revocable use may be granted in writing.

10.1 No Guarantees
Company makes no guarantees regarding income, conversion rates, or success.

10.2 Limitation of Liability
Company is not liable for indirect, incidental, or consequential damages related to the Program.

Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from Affiliate’s actions, promotions, or violations of these Terms.

Company reserves the right to update or modify these Terms at any time. Continued participation constitutes acceptance of any changes.

These Terms are governed by the laws of the state in which the Company is registered, without regard to conflict of law principles.

These Terms, together with any Affiliate Agreement or Program Guide, constitute the entire agreement between the parties.

By participating in the Affiliate Program, you acknowledge that you have read, understand, and agree to these Terms & Conditions.
